Terms of Service
The agreement between Orvexa and the businesses that use Orvexa Cloud: accounts, the free trial and auto-pay, acceptable use, data and liability.
Plain-English summary (not part of the agreement). You can try Orvexa Cloud free for 7 days. If you do nothing, auto-pay starts on day 7, and you can cancel any time. You own your store and your data. You must follow the law and the acceptable use rules. Our responsibility is limited as described in section 16.
These Terms of Service ("Terms") are an agreement between OrvexaTech Private Limited, SF.No.727/1A1, Vedhakara Street, Tiruvannamalai - 606705, Tamil Nadu, India ("Orvexa", "we", "us") and the business or person who registers for Orvexa Cloud ("you"). By ticking the box when you sign up, or by using Orvexa Cloud, you agree to these Terms, to our Refunds and cancellation policy and to our Privacy Policy. If you accept on behalf of a company, you confirm that you have the authority to bind it.
1. What Orvexa Cloud is
Orvexa Cloud is an online platform that lets a business run one or more online stores. Depending on your plan it includes a storefront and checkout, a separate database for each store, payment and cash-on-delivery tools, WhatsApp order updates, GST invoicing, search-engine and AI-search tools, and AI-assisted writing. The features of each plan are listed on our pricing page. A feature marked "coming soon" is not part of the service until we release it, and we do not promise a release date.
2. Who may use it
Orvexa Cloud is for business use. You must be at least 18 years old and legally able to enter a contract. You must give accurate information when you sign up and keep it up to date. You are responsible for everything done through your account, including by people you allow to use it, and you must keep your login details secret and tell us at once if you suspect misuse.
3. Early access outside India
We are launching in India first. If you join early access from another country, you are joining a waiting list. No paid service starts and nothing is charged. The prices we show for your country are the prices we plan to offer. They are not an offer, and we may change or withdraw them. Before any payment we will confirm that Orvexa Cloud is available in your country and tell you the price, and you can decide then whether to continue.
4. Free trial and auto-pay
The trial. Where Orvexa Cloud is available in your country, you get a free trial of 7 days. You pay nothing during the trial.
Auto-pay. To keep using the service after the trial you authorise recurring payments through our payment provider, Razorpay. In India this can be by UPI AutoPay, card or net banking. In other countries it is by international card. Unless you cancel before the trial ends, the first payment is taken automatically on the day the trial ends, and then every month or every year, depending on the billing period you chose, until you cancel.
Notice and approval. Banks and card networks follow rules from the Reserve Bank of India for recurring payments. We, or your bank, will tell you before each payment is taken, and some payments, for example larger amounts, may need your approval each time. If a payment needs your approval and you do not give it, the payment will not go through.
Failed payments. If a payment fails we may try again. If it is still unpaid after the grace period described in our Refunds and cancellation policy, we may limit your store to read-only access and later suspend it until the payment is made.
Your payment details. Razorpay processes your payment. We do not receive or store your full card number or UPI credentials.
5. Plans, prices and tax
Our prices are shown on our pricing page, in the currency of your country. For customers in India, prices exclude GST, which is added at 18% or the rate then in force. Other taxes are not included unless we say so. Choosing yearly billing gives the discount shown on the pricing page.
We do not take a share of your sales. The platform fee on your transactions is 0%. Fees charged by other companies are separate and are your responsibility, for example payment gateway fees, courier charges, messaging fees from WhatsApp, domain registration fees and SMS charges.
We may change our prices. We will give you at least 30 days' notice by email before a price change affects you, and you may cancel before it takes effect.
6. Cancelling
You may cancel at any time. How to cancel, and what happens to your payments, is set out in our Refunds and cancellation policy. After you cancel, you can export your store data for 30 days. After that we may delete it, subject to section 8 and to any records the law requires us to keep.
7. Your store, your content and your data
You own your store content, product listings, images and customer lists ("Your Content"). You give us permission to host, copy, display and process Your Content only as needed to run Orvexa Cloud for you, including making backups and showing your store to your shoppers.
You promise that Your Content is lawful, that you have the rights to use it, and that it does not infringe anyone else's rights or break our acceptable use rules in section 9. You are responsible for keeping your own copies. You can export your data while your account is active and during the period in section 6.
8. Your customers' personal data
For the personal data of your shoppers, such as names, addresses, phone numbers and orders, you decide why and how it is used, so you are the "data fiduciary" under India's Digital Personal Data Protection Act, 2023 (or the "controller" under the GDPR). We process that data only on your behalf and on your instructions to run the service. We keep it secure, we only let staff access it when they need to, we use sub-processors (service providers) under written terms, and we will tell you without undue delay if we learn of a breach that affects it. You must have a lawful basis to give us that data and must give your shoppers the notices the law requires. Our Privacy Policy explains how we treat personal data in more detail.
9. Acceptable use
You must not use Orvexa Cloud to:
- sell or promote anything that is illegal in India or in the country of your shoppers, including counterfeit goods, stolen goods, illegal drugs, weapons, or goods and services that need a licence you do not hold;
- deceive shoppers, take payment for goods you do not intend to deliver, or run any scam or pyramid scheme;
- send spam, or send marketing messages, including WhatsApp, SMS or email, to people who have not agreed to receive them;
- upload malware, attack or probe our systems or other customers' stores, bypass security, or overload the service;
- infringe copyright, trademarks or other rights, or publish content that is defamatory, hateful, obscene or that exploits children;
- break the policies of providers we connect you to, such as Razorpay or WhatsApp, or resell the service without our written agreement.
We may remove content or suspend a store that breaks this section, and we will tell you why where we reasonably can.
10. Your duties as a seller
You run your store and you are the seller. You are responsible for, among other things: registering for and charging GST where required and issuing correct tax invoices; following consumer protection law, including honest descriptions, prices and return rights; holding any licences your goods need (for example for food or cosmetics); the accuracy of your product claims; delivering orders and handling returns, refunds and complaints from your shoppers; and getting valid consent before you send marketing messages. Orvexa Cloud provides tools. It does not give legal, tax or accounting advice.
11. Third-party services
Some features rely on other companies, such as Razorpay for payments, Meta for WhatsApp messages, courier companies and domain registrars. Their terms apply to you when you use them, and they can change or stop their services. We are not responsible for their acts, outages or rules, but we will work with you in good faith to find another way where we can.
12. AI features
Some tools, such as AI-written product text, search-engine suggestions and the product recommender, use artificial intelligence. AI output can be wrong, incomplete or similar to other people's text. You must read and approve it before you publish it or rely on it, and you must not enter information into these tools that you are not allowed to share. We do not promise that AI tools will improve your search ranking or that any search engine or AI assistant will list or recommend your store.
13. Availability and support
We work to keep Orvexa Cloud available and secure, and we will tell you in advance about planned maintenance where we can. We do not promise that the service will be uninterrupted or error-free. A written service level for Enterprise Plus applies only if it is stated in your signed order. We offer support by WhatsApp, phone and email. We do not promise a response time unless your plan says so.
14. Our property
Orvexa Cloud, its software, design, templates, name and logo belong to us or our licensors. We give you a limited, non-exclusive right to use it during your subscription for your own business, and no more. You must not copy it, reverse-engineer it or let others use it through your account. If you give us feedback, we may use it without owing you anything.
15. Suspension and ending the agreement
We may suspend or end your account if you break these Terms, do not pay when payment is due, put the service or other customers at risk, or if we must do so by law. Where we can, we will give you notice and a chance to fix the problem first. You may end the agreement at any time by cancelling. When the agreement ends, your right to use the service ends. Sections that by their nature should continue, such as payment owed, limits of liability and governing law, continue after it ends.
16. Disclaimers and limits of liability
Orvexa Cloud is provided "as is". To the fullest extent the law allows, we do not give any warranty that is not written in these Terms. We are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data caused by events outside our reasonable control. Our total liability to you for all claims arising from the service in any 12-month period is limited to the fees you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law, including for fraud.
17. Indemnity
You will protect us against claims, losses and reasonable costs brought by a third party because of Your Content, the goods or services you sell, your breach of these Terms, or your breach of the law. We will tell you promptly about such a claim and give you reasonable help to defend it.
18. Changes to these Terms
We may update these Terms. For a material change we will tell you at least 30 days before it applies, by email or in your account. If you keep using Orvexa Cloud after the change takes effect, you accept it. If you do not accept it, you may cancel before then.
19. Governing law and disputes
These Terms are governed by the laws of India. We will first try to resolve any dispute through good-faith discussion for 30 days after one of us gives the other written notice. If it is not resolved, the courts at Coimbatore, India, have exclusive jurisdiction, except where the law gives a party the right to bring a claim elsewhere.
20. General
These Terms, with the policies they refer to and any signed order, are the whole agreement between us about Orvexa Cloud. If a part is found invalid, the rest stays in force. If we do not enforce a right, that does not waive it. You may not transfer your rights without our consent; we may transfer ours as part of a sale or reorganisation of our business. We are not liable for delay caused by events outside our reasonable control. We may send notices to the email address on your account, and you may write to us at the addresses below. These Terms are in English.
